Jen Howard has extensive experience representing clients nationwide in sophisticated asset-based and structured finance transactions, with a particular focus on equipment finance and energy project finance.

With more than a decade of experience in equipment finance, Jen advises clients throughout the life cycle of equipment finance transactions, including the structuring, negotiation, and documentation of true leases, leases intended as secured financing, and equipment loans. She has significant experience financing a wide variety of equipment types. She has represented lenders in the refinancing of multimillion-dollar portfolios of equipment leases, installment sales contracts, and other equipment finance assets.

Jen also represents clients in connection with the financing, development, and operation of energy-generation facilities, including anaerobic digesters, landfill gas-to-energy projects, solar facilities, and natural gas-fired plants. Her experience includes advising on construction and term loan financing, preparing power purchase agreements and related documentation, assisting with the formation of energy trade associations, and counseling clients on public policy and energy regulatory issues.

  • Represented a lender in financing power generation equipment for data centers.

  • Prepared a comprehensive 50-state survey regarding licenses needed for various subsidiaries of a bank holding company in connection with the direct origination or syndication of commercial transactions involving (1) true leases of personal property, including licenses required for specialty equipment or the sale of equipment off lease; (2) loans secured by personal or real property; (3) the purchase of leases, loans, or installment sales contracts; (4) collections activities; and (5) other ancillary activities relating to the foregoing lines of business.

  • Represented a financial services corporation in the structuring, documentation, negotiation, and closing of a non-recourse project financing covering five biogas energy cogeneration facilities in California, which also involved a tax-exempt overlay with the California Pollution Control Finance Authority.

  • Represented the equipment finance subsidiary of multiple banks in connection with the sale-leaseback transactions of solar generation facilities in Alabama, Georgia, and Tennessee.

  • Represented multiple lenders in preparing loan documentation for equipment leasing and finance transactions.

  • Reviewed and prepared forms for lenders and lessors in equipment leasing and finance transactions.
