As a native German, Mr. Faerber has extensive experience counseling German speaking clients expanding into the U.S. He works with a variety of European-based companies in connection with their initial strategy regarding their foreign direct investment, as well as ongoing guidance for existing U.S. operations. Additionally, he counsels U.S. companies in their global expansion strategies and plans, including those entering the European market, specifically, Germany.

Mr. Faerber also counsels U.S. and foreign clients in connection with mergers, acquisitions and other forms of transactions, restructurings, corporate governance, as well as the negotiation and drafting of distribution, manufacturing, and other commercial agreements across numerous industry sectors. He acts as outside legal counsel and a strategic advisor to his clients guiding them in their supply chain strategies and ongoing operations.

  • Corporate Counseling and Mergers & Acquisitions

  • Served as lead counsel to a German "Home & Living" company in its acquisition of a U.S. manufacturer.

  • Served as lead counsel to a U.S.-based company in the sale of part of its restaurant portfolio.

  • Represented the owners of wholesale and retail power operations in the sale of equity to an electrical process materials and parts conglomerate.

  • Represented a large multinational accounting and business services organization and its constituent entities in connection with its acquisition by an acquirer recognized among the five largest accounting firms globally.

  • Represented the owners of a health care technology company in the sale of equity to a private equity fund.

  • Represented an acquirer in connection with its acquisition of a flooring solutions business for commercial and residential applications.

  • Represented the owner of a nationwide digital experience agency in the sale of equity to a private equity fund, which included the owner receiving rollover equity.

  • Represented a platform company of a private equity firm in connection with its purchase of the assets of a medical device company with U.S. and foreign operations.

  • Represented a German acquirer in the acquisition of a manufacturing company in the U.S. and coordinated processes with local counsel concerning the acquisition of a manufacturing company in Canada.

  • Represented the founder of a vehicle and utility trailer manufacturing operation in connection with the reacquisition of the legacy business from a previous acquirer.

  • Represented European companies in the negotiation and drafting of distribution and manufacturing agreements in North America.

  • Served as outside general counsel to businesses in a variety of industries, including automotive, equipment manufacturing, medical device, health care services, and IT solutions, among many others.

  • Economic Development and Foreign Direct Investments

  • Advised a German automotive supplier in establishing its first U.S. plant in South Carolina, including state and local incentives negotiation.

  • Counseled a German company in negotiating state incentives for a new facility in Florida.

  • Represented a German manufacturer in establishing a new plant in North Carolina.

  • Advised a German automotive supplier in establishing a U.S. plant in Alabama, including state and local incentives negotiation.
