Known for combining legal precision with practical business insight, Jean-Luc regularly counsels clients seeking to execute transformative deals in the power, energy, and infrastructure sectors.

With extensive experience in complex mergers, acquisitions and divestitures, joint ventures, and project development, Jean-Luc regularly represents clients in the power, energy, civil infrastructure, electric vehicle (EV), and airport concession industries. Prior to Baker Donelson, he spent nearly eight years as in-house counsel at a Fortune 500 global power and utility company, where he offered legal advice and supported project development, mergers and acquisitions, and strategic alliances.

Jean-Luc also handles commercial legal matters, including drafting and negotiating term sheets, letters of intent, master service agreements, and other contracts. Additionally, he regularly counsels clients on corporate governance, entity formation and dissolution, internal reorganizations, and compliance issues.

  • Represented the seller of a minority stake in a 1.4 GW portfolio of two combined-cycle gas generation power plants and two battery energy storage assets in California and Arizona.

  • Represented the seller of a 1.4 GW portfolio of two thermal power plants and one energy storage facility in Northern Ireland.

  • Represented the seller of 973 megawatts (MW) of thermal power plants in Ohio and Indiana.

  • Represented the seller of a controlling interest in a 163 MW thermal power plant in Sri Lanka.

  • Represented the seller of retail electric businesses serving customers in Ohio, Illinois, and Indiana.

  • Represented the buyer of a leading residential and commercial and industrial (C&I) solar power project developer.

  • Advised an EV startup on issues related to EV charger residential installation and the acquisition of public EV chargers from a public utility.

  • Advised a public utility regarding the installation of EV chargers for C&I and public entity customers.

  • Represented a founding member in the formation of and subsequent capital raise for a global joint venture for a battery-based energy storage technology.

  • Represented a project developer in the formation of a joint venture for the construction and operation of a 10MW battery energy storage system in India.
