Hannah Cole focuses her practice on mergers and acquisitions, strategic business transactions, and operational and compliance matters in the health care industry. Drawing on her prior experience as chief legal officer of one of the largest independent physician groups in Tennessee, she brings a practical, business-oriented perspective to advising clients on complex legal and operational challenges.

Ms. Cole counsels health care organizations – including hospitals, ambulatory surgery centers, physician groups, and specialty practices – on a wide range of transactional, regulatory, and day-to-day operational issues, including guiding organizations through transitions to management services organizations and value-based arrangements. Her in-house experience allows her to anticipate business risks, streamline decision-making, and align legal strategies with organizational goals, and she acts as a trusted advisor to boards, executive leadership, and senior management on a wide range of topics grounded in the regulatory, business, and operational realities faced by her clients.

  • Represented a transformative health IT company from formation through sale to a Fortune 50 company.

  • Represented a Georgia non-profit hospital in the sale of substantially all of its assets to a national for-profit health care organization.

  • Successfully represented a leading nationwide operator of wellness centers for self-funded organizations in the sale of the business to the country's largest direct health care provider.

  • Represented a physician practice in Tennessee in a corporate restructuring, transition to a management services organization structure, and strategic joint venture transaction.

  • Secured the first Certificate of Public Advantage (COPA) ever issued in the state of Tennessee and the first Cooperative Agreement ever issued in the Commonwealth of Virginia for a billion-dollar non-profit health system.

  • Represented a behavioral health provider operating 23 psychiatric hospitals and outpatient programs along the Gulf Coast, as seller's counsel, in its $310 million sale to a buyer with financing provided by a private equity firm.

  • Represented Strategic Behavioral Health in its $170 million sale of eight psychiatric hospitals to a Tennessee-based behavioral health and addiction treatment center.

  • Represented a non-profit hospital in a strategic joint venture for an imaging center.

  • Represented Franklin American Mortgage in the sale of substantially all of its assets to a financial group.

  • Successfully represented a leading provider of benchmarking and comparative analysis services to hotels in a sale to a publicly traded company that was the largest hotel industry transaction in 2019.

  • Represented a leading management consulting firm in its membership interest sale to a leading business advisory firm.

  • Advised a closely held trucking company in the structuring and sale of the business.

  • Represented a client in the sale of its nationwide solar asset management company, which was valued at $26 million and provided solar power system operations and maintenance services, to a private equity company.

  • Serves as corporate counsel to a variety of businesses, from a large publicly traded manufacturer to closely held restaurants.
