Javier is a seasoned corporate attorney concentrating in technology-related and complex commercial contracts. With extensive experience drafting, reviewing, and negotiating a wide array of agreements – including application programming interface (API) and developer agreements, sales and distribution, global agreements, vendor and product sales agreements, software licensing, and original equipment manufacturer (OEM) agreements – he provides comprehensive legal support tailored to his clients' strategic objectives.

Javier's experience includes Software as a Services (SaaS), Master Services Agreements (MSAs), strategic alliance and partnership agreements, professional services agreements, multiphase statements of work (SOWs), product services agreements, sponsorship agreements, and point-of-sale (POS) subscription agreements. He also has significant experience reviewing and drafting privacy policies and data processing agreements (DPAs). He is proficient in navigating the complexities of modern business transactions, particularly those involving technology and privacy matters.

Prior to joining Baker Donelson, Javier worked as in-house counsel for leading companies across various industries, including a manufacturer of construction, agriculture, and landscaping equipment; a Fortune 500 fintech company; a financial services and insurance company; and an international mining company. His experience extends to working with governmental municipalities, universities, and entities in sectors such as recreational services, reservation systems, ticketing, registration, college athletics, venues and stadiums, restaurants, loan repayment services, and educational institutions across the U.S., Canada, and Europe.

Born in Cuba, Javier arrived in the U. S. as a refugee, and he leverages his bilingual proficiency in English and Spanish, along with his diverse cultural background, to effectively serve a broad clientele. His personal journey enriches his understanding of different perspectives, allowing him to provide nuanced legal counsel tailored to each client's unique needs. Outside of his professional endeavors, Javier is a proud father of two daughters.

  • Represented a leading health care company in the procurement and negotiation of a strategic enterprise artificial intelligence (AI) and data analytics platform agreement, advising on sophisticated technology, cybersecurity, data privacy, intellectual property (IP), and commercial risk allocation provisions.

  • Represented the owners of a nationwide manufacturer of specialized metal products in the sale of equity to a private equity fund, including the negotiation of rollover equity and related transaction documents.

  • Represented the owners of a traffic control products and services company in connection with the sale of equity to a private equity-backed buyer, including legal due diligence and transaction support.

  • Represented a leading medical school in the procurement and negotiation of a mission-critical enterprise human capital management (HCM) platform agreement, advising on sophisticated AI, data privacy, cybersecurity, IP, technology licensing, and commercial risk allocation provisions.

  • Represented an AI-powered legal technology company in drafting and negotiating strategic API integration and software development agreements supporting the development and commercialization of its enterprise platform, including negotiation of IP, data rights, confidentiality, and commercial risk allocation provisions.

  • Represented a specialty metals company in negotiating a suite of complex agreements for the design, manufacture, and procurement of multimillion-dollar custom-engineered capital equipment supporting the construction of a new manufacturing facility, including technical specifications, commercial terms, performance criteria, acceptance testing, and risk allocation.

  • Drafted and negotiated a comprehensive data access agreement for a financial services institution, enabling secure and compliant information sharing with third parties.

  • Advised a direct-to-consumer mail-order business in responding to a subpoena issued by a state consumer protection division, ensuring regulatory compliance and risk mitigation.

  • Represented an alternative fuel company in drafting and negotiating a complex distributor agreement to expand its distribution network.

  • Negotiated a mission-critical SaaS agreement on behalf of a financial services institution, addressing key operational and regulatory requirements.

  • Counseled a Canadian entity on potential U.S. regulatory issues arising under the CLOUD Act and the USA PATRIOT Act, including analysis of the applicability of these laws to the client.

  • Represented a large multinational accounting and business services organization and its constituent entities in connection with its acquisition by an acquirer recognized among the five largest accounting firms globally.

  • Represented the owner of a nationwide digital experience agency in the sale of equity to a private equity fund, which included the owner receiving rollover equity.
