Overview

Amy Elder has extensive experience in all aspects of gaming law. Ms. Elder represents and advises privately-held and publicly-held casino operators, gaming-related manufacturers, casino management companies, investors, developers, commercial lenders and private equity firms in a wide range of gaming matters, including licensure, regulatory compliance, administrative hearings, financing and project development. Her clients include the largest gaming operators and gaming equipment manufacturers in the casino industry. Ms. Elder is a past board member of the International Association of Gaming Advisors and is listed in Best Lawyers in America® in Gaming Law.

An experienced gaming attorney, Ms. Elder regularly appears on behalf of clients before the Mississippi Gaming Commission. She counsels business clients in entity formation, restructuring, acquisitions, dispositions and other strategic transactions. Ms. Elder also has experience in public finance and the issuance of tax-exempt bonds. She drafted the gaming law and gaming revenue descriptions for Mississippi's first revenue bond issue secured solely by gaming revenues. Prior to earning her law degree, Ms. Elder was employed in the securities industry and held a Series 7 General Securities Representative license.

  • Represented publicly-traded gaming company in Mississippi gaming regulatory matters in connection with the issuance of company's $100 million senior secured notes. 

  • Counsel for lender in refinancing of a multi-state casino's $80 million senior secured credit facility.

  • Represented international gaming equipment manufacturer in Mississippi and Louisiana obtaining regulatory approvals for a $350 million equity transaction.

  • Leader of team representing purchaser in complex casino acquisition and financing transaction.
  • Assisted gaming client in obtaining Louisiana and Mississippi gaming regulatory and certain other regulatory approvals required in connection with the client's spin-off of its real estate assets into a real estate investment trust (REIT).

  • Obtained Mississippi regulatory approvals for a client's $100 million financing transaction.
  • Served as gaming counsel to reorganized debtor owning casino properties in Mississippi and Louisiana in bankruptcy emergence transaction.

  • Counsel to developer of $270 million Gulf Coast casino resort project, including legal gaming site determination, development regulatory approvals and gaming operator licensing.
