As a member of Baker Donelson's Health Law Group, Grant provides strategic counsel on a wide range of issues, including mergers and acquisitions; federal fraud and abuse laws (Anti-Kickback Statute, Stark Law, and False Claims Act); physician employment agreements; HIPAA compliance; state health care transaction filings; and the corporate practice of medicine.

He also advises clients on regulatory considerations tied to restructurings, bankruptcies, and private credit arrangements. Grant's work has included representation of physician groups, pharmacies, health care technology companies, private equity sponsors, and life sciences companies, with a particular focus on pharmaceuticals, medical devices, and other FDA-regulated industries.

  • Represented a publicly traded provider of laboratory equipment, supplies, and software in its pending $39 billion Reverse Morris Trust combination with a global medical technology company to create a life sciences and diagnostics leader.

  • Assisted in the acquisition of a clinical trial site network.

  • Advised on the acquisition of a therapy services provider.

  • Facilitated a $525 million investment by a private equity firm in a dental company.

  • Represented a medical devices and services company in its prearranged Chapter 11 cases, involving a sale process with a $45 million debtor-in-possession financing facility.

  • Integrated the $1.115 billion sale of an oncology services provider to a major health care company.

  • Guided the sale of a workforce solutions provider to an investment group.

  • Oversaw the $787.5 million acquisition of a dental industry products provider from a health care company.

  • Assisted a medical emergency transportation company in a comprehensive refinancing transaction.

  • Advised on the rescue financing and leveraged recapitalization of an orthopedic solutions provider.

  • Supported the acquisition of a senior care services provider.

  • Facilitated the sale of a veterinary care provider to an investment firm.

  • Represented a pharmacy chain and its affiliates in their prearranged Chapter 11 cases.

  • Managed the commencement of prearranged Chapter 11 cases for a national medical group, involving a collective deleveraging of approximately $7.4 billion of secured and unsecured debt and the separation of its physician services and ambulatory surgical center businesses.
