Professional Biography


Kareim Oliphant advises clients on mergers and acquisitions, venture capital financings, and general corporate matters. In addition, Kareim's capabilities include assisting clients in environmental, social and governance (ESG) matters. Regardless of the size of the transaction, Kareim aims to deliver excellent client service while helping to drive value, reduce risk, and promote growth.

He previously worked as a program specialist for the New Jersey Department of Labor & Workforce Development where he focused on developments in workforce development policy and legislation. He also served as a judicial extern for the Honorable W. Neal McBrayer of the Tennessee Court of Appeals.

  • Represented an Atlanta online fitness startup in connection with its $1.1 million Series Seed Preferred Stock financing transaction to grow its team and expand its customer base.

  • Represented a New Orleans biotech startup in connection with its $4.5 million Series A Preferred Stock financing transaction to further develop the drug development pipeline relating to a variety of medical fields, including diabetes, oncology and regenerative medicine.

  • Represented a Nashville-based medical technology cloud platform in connection with the sale of its outstanding shares of capital stock for $33 million to an enterprise health care operations company.

  • Represented an online agricultural retail platform in connection with its $3 million Series A Preferred Stock financing transaction.

  • Represented a designer and producer of technology accessories in connection with the sale of its outstanding shares of capital stock for $25 million to a private equity company.

  • Represented a clean energy technology company in connection with its $12 million Series A Preferred Stock financing transaction.
