Charline Gipson concentrates her practice in general corporate matters, mergers and acquisitions, and commercial transactions for publicly traded and privately held corporations.

Professional Biography


While serving as outside general counsel for corporate entities, Ms. Gipson handled a wide array of corporate and commercial transactions, including organizational restructuring, private and public finance, nonprofit organization and federal tax exemption, real estate development, settlement and negotiation strategy, contracts, Form S-1 registrations of initial public offerings, mergers and acquisitions, and corporate governance matters.

Ms. Gipson focuses her civic activities on equitable access to quality public education and advocacy related to racial and gender equity. She served as a board member of the Ms. Foundation for Women and Communities in Schools Gulf South. One of the first pro bono projects Ms. Gipson worked on as a young lawyer in New York was the Courtroom Advocates Project (CAP), which helped victims of domestic violence to seek orders of protection in Family Court and engage in safety planning to help clients start new lives.

Prior to joining Baker Donelson, Ms. Gipson co-founded a local New Orleans law firm. Before that, she gained valuable experience as a corporate associate, working on corporate deals at a powerhouse New York City firm. In 2004, Ms. Gipson moved to New Orleans to serve as a law clerk for the Honorable Ivan L.R. Lemelle in the Eastern District of Louisiana of the United States District Court.

  • Corporate and Outside General Counsel Services

  • Represented NFL and NBA professional athlete marketing and production companies in connection with endorsement deals with major sports and commercialization of social media influence.

  • Served as primary regulatory counsel and contracts attorney for Louisiana reproductive health clinics.

  • Provided outside general counsel services in transportation, sanitation, and emerging EV battery research and development industries.

  • Represented a privately held boutique gym in connection with the redemption of a minority interest from a co-founder.

  • Represented a privately held consulting firm in connection with the founding member's redemption of a 50-percent membership interest in the company.

  • Mergers and Acquisitions

  • Represented a private corporate borrower/purchaser in connection with leveraged buyout financing for its acquisition of a specialty packaging products and security seal company operating in the munitions and pyrotechnic industries.

  • Represented the purchaser in the acquisition of a utility construction company in the water, sewerage, and telecommunications industries.

  • Represented the purchaser/lessee in the acquisition of a sandblasting and paint supply business via asset purchase and facility lease.

  • Represented the seller/lessor in the stock sale of a transportation company and lease of operations building to purchaser.

  • Real Estate

  • Served as Louisiana counsel to a publicly traded multinational energy equipment and services corporation in connection with the sale-leaseback of multiple Louisiana properties in several parishes.

  • Served as leasing counsel for landlords and tenants of sports facilities, industrial property, and office and retail buildings.

  • Non-Profit Representation

  • Represented a 501(c)(3) religious organization in a $32 million guaranteed maximum price contract dispute with the architect and construction manager in connection with the construction of a new worship and education facility.

  • Represented numerous foundations and non-profit organizations in connection with the initial application to the IRS for federal tax-exempt status.
