Overview

In connection with her representation of developers, Ms. Hartley has assembled and led teams to achieve land use and zoning modifications for projects in both Central and South Florida, including obtaining comprehensive plan amendments, DRI modifications, and zoning and variance applications. She has also provided Florida real estate acquisition and operations guidance for a number of national REITs.

Ms. Hartley also has more than 25 years of experience in corporate practice and taxation, including mergers and acquisitions, entity formation and business succession planning. She also has substantial experience in association law, public finance and franchising. Ms. Hartley practiced as a certified public accountant in Fort Lauderdale prior to embarking on her legal career and incorporates this knowledge into her practice.*

  • Provided due diligence and structure for acquisitions by national apartment REIT.
  • Acquisition and leaseback of Florida industrial facility for national REIT.
  • Structure of "portfolio debt" investments for international client.
  • Represented the owner of a 500+ unit condominium in Florida in connection with the conversion of a portion of the condominium units into apartments. Assisted the client with financing and zoning considerations.
  • Formation of $22 million Irish equity fund investing in U.S. real estate.
  • Represented client in the acquisition, financing and land use planning for 365-acre mixed use parcel in Florida.
  • Represented a Florida resort condominium in abatement of more than $10 million in ad valorem taxes in a case of first impression in Florida.
  • Represented lender in connection with the refinancing of a $12.5 million farm loan and the modification of prior mortgages to add $67 million additional collateral.
  • Terminations of condominium regimes for Florida "fractured" condominiums.
  • Managed the due diligence for a $200 million hotel portfolio acquisition.
  • Obtained comprehensive plan amendment and PD modification for a 970-acre master planned resort.
  • Represented an insurance company in the refinancing of three existing agriculture loans plus an additional loan, all cross-collateralized and cross-defaulted, as well as in the acquisition of existing loans from a mortgage company.
  • New Markets Tax Credit conversion of historic building to boutique hotel.
  • Represented company in obtaining $3.5 million loan from a bank to help fund internal ESOP loan to finance buyout of remaining shares of company. Total purchase price of stock was approximately $4 million. Included intercreditor agreement with company's construction surety.
  • Represented a real estate firm in the potential purchase of a set of condominiums. Negotiated the purchase and sale agreement, clubhouse lease, reviewed title documents and carried out due diligence. The client terminated the condominium contract at end of inspection period.
  • Represented a client in the sale of a 358-unit multifamily project in Boca Raton, Florida. Baker Donelson created the saleable tract by a previous partial termination of a condominium.
  • Represented a real estate investment and development company in the sale of a $3.7 million shopping center.
  • Represented a bulk purchaser of condominiums in connection with the acquisition of 195 units and advised on matters related to the acquisition and loan documents, including acquisition of control of the association board.
  • Advised a large restaurant franchise operator in connection with a multimillion-dollar term loan and revolving line of credit.
  • Acted as counsel for the lender of agricultural loans to family farms in Florida. This multimillion-dollar deal involved the negotiation and drafting of documents and the review of title issues.
  • Acted as borrower's counsel for a holding company in connection with a bridge loan and final SBA loan, collateralized by real estate.
