Patrick K. Cameron, shareholder in the Baltimore office, is a member of the Financial Services Department and a former member of Baker Donelson's Board of Directors.

Professional Biography


Mr. Cameron represents asset-based lenders, financial institutions and other business creditors in a full range of commercial financing transactions that typically involve revolving credit, term loan and letter of credit facilities, senior and subordinated debt transactions, real estate financings, construction and permanent loan financings, debtor-in-possession loans, restructurings and out-of-court loan workouts.

He also works with corporate entities and mezzanine lenders on a variety of transactions including mergers and acquisitions, recapitalizations, debt and equity offerings, secured and unsecured facilities (including warrants) and joint venture arrangements.

Mr. Cameron's extensive experience also includes the financing of a wide variety of transportation assets and projects, including vessels of every kind and description, containers and related equipment, and locomotives and railroad rolling stock.

In addition, he represents numerous national and regional banks and other financial institutions on a variety of health care financing transactions including acquisition financing, construction financing and working capital financing.

He is a noted speaker and lecturer on equipment leasing and finance issues and shares his knowledge on transportation-related financing issues as a member of the Air, Rail and Marine Subcommittee of the Equipment Leasing and Finance Association.

  • Served as maritime counsel in connection with the construction and charter financing of the first U.S. built Jones Act wind farm vessel.

  • Served as maritime counsel in connection with $580,000,000 synthetic lease financing (both construction and permanent) of two (2) to be built LNG carriers to be flagged in the Marshall Islands.

  • Served as counsel to a national bank in connection with its $27,000,000 construction and ultimate bareboat charter financing of various crew transport vessels for a U.S. wind farm operator.

  • Served as counsel to a U.S. regional bank in connection with the sale, repurchase, reflagging, and bareboat chartering of a 2015-built bulk carrier flagged in the Republic of Liberia.

  • Served as counsel to a U.S. regional bank in connection with its $47,000,000 refinancing of a fleet of U.S. flagged tugs and barges.

  • Served as special maritime counsel to a syndicate of U.S. lenders in connection with their $587,500,000 refinancing/restructuring of debt owed by one of their customers using a pre-packaged Chapter 11 filing to do so.

  • Served as counsel to a U.S. financial institution in connection with its purchase and bareboat chartering of various double-hulled caustic service tank barges operating in the U.S. and Gulf of Mexico.

  • Served as transactional counsel in connection with the purchase by several local and regional banks of various railcar lease portfolios

  • Served as special maritime counsel to a major national bank in connection with a $250 million nationally syndicated revolving credit facility for an East Coast based tug and barge operator.

  • Served as maritime counsel to a global financial services conglomerate in connection with numerous vessel financings with customers throughout the U.S. that included both construction and permanent financing loans with an aggregate value between $150 million – $250 million.

  • Served as transactional counsel to a multi-national provider of goods and services to the nuclear power industry in connection with its acquisition of various companies and its joint venture arrangement with a large crane manufacturer

  • Served as transactional counsel to a $300 million private equity mezzanine fund in connection with various financings, including recapitalization of a large government contractor in the Washington, D.C., area; acquisition of the stock of a Massachusetts manufacturer of large industrial dryers; and acquisition of the assets and certain liabilities of the automotive division of a large engineering / manufacturing company in St. Paul, MN

  • Served as transactional counsel to various national banks providing acquisition, construction and permanent financing to various health care entities, home health providers and nursing home operators

  • Represented the administrative agent and lead lender in connection with the default by two borrowers of their obligations to a syndicate of lenders in connection with a $141,975,000 senior secured credit facility.

  • Represented a regional bank in connection with the default by an entity borrower and its various guarantors in connection with a $40,000,000 senior secured term loan facility.

  • Represented a regional bank in connection with the default by an entity borrower and its guarantor of various loans secured by certain marine assets.

  • Represented a regional bank in connection with the workout and restructuring of approximately $75,000,000 in various real estate loans.
