Obtained regulatory approvals in Mississippi and Louisiana for client's $4.5 billion restructuring and refinancing transaction.

Served as local gaming counsel to a worldwide hospitality and gaming company in connection with a $3.3 billion transaction to refinance outstanding debt and acquire another hospitality company. Obtained necessary regulatory approvals from state gaming authorities.

Advised client in a complex multi-state transaction valued at $1.1 billion, including regulatory approvals for the acquisition of a casino, refinancing existing debt, sale and lease back of client's casino properties, redemption of equity interests, and restructuring of ownership entities.

Professional Biography


Amy Elder has extensive experience in all aspects of gaming law. Ms. Elder represents and advises privately held and publicly held casino operators, gaming-related manufacturers, casino management companies, investors, developers, commercial lenders and private equity firms in a wide range of gaming matters, including licensure, regulatory compliance, administrative hearings, financing and project development. Her clients include the largest gaming operators and gaming equipment manufacturers in the casino industry. Ms. Elder is a board member of the International Association of Gaming Advisors and is listed in The Best Lawyers in America® in Gaming and Leisure and Hospitality Law and ranked in Chambers USA as a leading lawyer nationwide in the area of Gaming & Licensing law.

An experienced gaming attorney, Ms. Elder regularly appears on behalf of clients before the Mississippi Gaming Commission. She counsels business clients in entity formation, restructuring, acquisitions, dispositions and other strategic transactions. She advises clients in the hospitality industry in hotel management agreement compliance and all manner of operating contracts and agreements. Ms. Elder also has experience in public finance and the issuance of tax-exempt bonds. She drafted the gaming law and gaming revenue descriptions for Mississippi's first revenue bond issue secured solely by gaming revenues. Prior to earning her law degree, Ms. Elder was employed in the securities industry and held a Series 7 General Securities Representative license.
