1:00 PM - 2:30 PM ET

This BNA webinar will focus on DOJ/FTC challenges to consummated mergers, including small non-reportable deals which are usually assumed to be too small to be on the agencies' radar screens. This is a very timely topic: just this month the DOJ announced a divestiture in a $5 million consummated deal involving electronic voting machines. After a lengthy trial involving 35 witnesses, 6,000 pages of trial transcript, and 2,400 pages of post-trial briefs, an FTC administrative law judge issued a 400-page initial decision ordering divestiture in a February 2008 acquisition involving battery separators.

This BNA Webinar Will Discuss:

  • Recent challenges to consummated deals
  • What gives rise to agency investigations
  • What the agencies look for
  • Agency investigations of non-reportable deals before consummation, including gun-jumping issues
