As a member of the Tax Group, Cobb focuses on advising clients in tax planning, estate planning, business succession planning, business transactions, and estate and trust administration.
Cobb has experience analyzing estate, gift and generation-skipping transfer (GST) taxation issues, preparing primary estate plans (including wills, revocable and irrevocable trust agreements, general powers of attorney, health care powers of attorney and living wills), and trust and estate administration, including drafting nonjudicial settlement agreements; drafting trustee resolutions for successor trustee designations, trustee resignations, trust asset distributions, trust decantings, trust divisions, and trust mergers; drafting probate court petitions; and representing clients in probate court.
He has experience in the drafting and implementation of sophisticated wealth transfer planning techniques, including complex wills, generation-skipping trusts, life insurance trusts, intentionally defective grantor trusts (IDGTs), grantor retained annuity trusts (GRATs), Tennessee Investment Services Trusts (TISTs), and other estate planning instruments. In addition, he handles preparing and reviewing federal estate and gift tax returns.
Cobb has experience in the formation and governance of various business entities, including preparing filings for Secretaries of State; drafting limited liability company agreements, limited partnership agreements, and shareholder agreements; and interpreting such documents in relation to business and estate planning. He represents clients in both gift and sale transactions of business interests, including voting and non-voting limited liability company interests, general and limited partnership interests, and voting and non-voting closely held corporate stock. He also regularly works on other business transactions and matters that involve both tax and non-tax issues.
