Mr. Williams assists his clients with every aspect of the corporate lifecycle, from pre-planning and formation all the way through exit. Mr. Williams' clients trust him to be their outside advisor, to counsel on legal, as well as strategic and business-related decisions. Several areas of Mr. Williams' practice include, but are not limited to: assisting with the pre-planning, formation and governance of all types of legal entities; capital raising of all sizes and nature, with an emphasis on private placement securities offerings; mergers and acquisitions (both buy-side and sell-side, and equity and asset deals) and the structuring of simple and complex transactions; reviewing and counseling borrowers with respect to financing transactions (institutional as well as private lenders); syndications; public offerings and the related reporting requirements; real estate transactions; and intellectual property. Mr. Williams also has experience drafting offering documents and related agreements for public and private real estate investment trusts (REITs) and business development companies (BDCs).
Mr. Williams' represents clients in a broad spectrum of industries, including the following industries: consumer packaged goods, food services, cannabis, fitness, entertainment, hospitality, securities, textiles, technology, real estate and real estate conservation.
Cannabis
Mr. Williams is staying at the forefront of the evolving legal landscape connected to the cannabis industry, both at the federal and state level. Mr. Williams' focus is on the corporate and regulatory components of the legalization of medical and recreational marijuana and marijuana-derived CBD (cannabidiol) oil. This includes the impact on state and municipal licensing, corporate structuring and formation, real estate, raising capital and potential employment issues.
Entertainment
Using his prior industry and business experience, Mr. Williams counsels individuals and business entities in the music, film, television and video game industries. Mr. Williams helps his clients with general corporate structuring, implementation and governance, project financing, protection of intellectual property and the negotiation, drafting and review of contracts, including but not limited to the following types of agreements: talent, distribution, appearance, non-disclosure, licensing, management and booking.
