Professional Biography


Matthew counsels health care entities on regulatory and transactional matters and frequently counsels on structuring, formation, and strategy issues. He has significant experience advising clients as they establish business models that are compliant with the Stark Law, Anti-Kickback Law, and corporate practice of medicine doctrine. Providers utilizing the services of advanced practice providers (nurse practitioners and physician assistants) face compliance challenges, particularly when they begin operating under multiple jurisdictions' licensing laws, and Matthew frequently works with these clients as they seek to create efficient processes for ensuring compliance with these multiple laws.

Following law school, he clerked for a federal magistrate judge and a federal district judge in the Western District of Kentucky. Prior to law school, Matthew worked for a health care technology startup focusing on health care data.

Representative Matters
  • Assisted publicly traded company in its acquisition of a multi-state neuromonitoring provider and subsequent restructuring of one division of the company to comply with the corporate practice of medicine doctrine.

  • Assisted a large non-profit health system in its acquisition of an interest in an ambulatory surgery center and the structuring of the resulting joint venture.

  • Served as regulatory counsel in a publicly traded real estate investment trust's acquisition of a portfolio of skilled nursing facilities under a Corporate Integrity Agreement.

  • Counseled a multi-state billing and collections company entering the Texas market in structuring its business to comply with state anti-kickback laws.

  • Assisted a provider of on-site employee health clinics as it sought to roll out a telemedicine product across its 50-state footprint.
