Overview

Lori's practice includes a mix of corporate and litigation matters relating to contracts, labor and employment, fiduciary, trust and estate planning, and bankruptcy law in a number of industries including financial institutions, energy, real estate and insurance. She acts as general counsel to a variety of companies.

Lori assists clients on formation and structuring issues, corporate governance, operational issues, employee issues, contract negotiations, mergers and acquisitions, real estate and financial transactions. Her litigation experience includes first chair jury trials in state and federal court, administrative agency proceedings and alternative dispute resolution, including arbitration.

  • Represented the purchaser in the acquisition of Sprayproof, LLC.

  • Represented a food service company in series B and C funding.

  • Represented a startup water treatment company in series A funding.

  • Represented a data storage company in negotiating renewals and termination fees.

  • Successfully defended fraud and breach of fiduciary duty claims brought in Texas probate court and California bankruptcy court, and ultimately decided by the United States Supreme Court, by the widow and disinherited brother against the trustee and primary beneficiary of an estate trust.

  • Successfully prosecuted derivative claims of breach of fiduciary duty and theft on behalf of the co-owner of a motorsports company.

  • Obtained a defense verdict for the CEO of an electronic refurbishing company against claims of self-dealing, breach of fiduciary duty and fraud brought by the putative owner.

  • Obtained a $6 million arbitration award for an electric utility vendor against a provider for breach of fiduciary duty, theft and breach of contract.

  • Obtained a $3 million verdict for an emergency room vendor against a hospital for breach of contract.

  • Successfully represented the trustee of an estate trust against claims of self-dealing and breach of fiduciary duty brought by the financial guardian.

  • Obtained a defense verdict for the widow and trustee of an estate trust against claims of self-dealing and breach of fiduciary duty brought by contingent beneficiaries.

  • Obtained a take-nothing dismissal of breach of contract and breach of fiduciary duty claims brought by the minority owners of a water treatment company.

  • Successfully defended a tool repair and supply company against claims by its tool distributor of theft of trade secrets and breach of fiduciary duty.

  • Obtained a $2 million disgorgement verdict for a Chapter 11 debtor against its former law firm.

  • Obtained a take-nothing verdict for a pipeline coating company against claims of trade secret theft by a competing pipeline coating company.
  • Obtained a $2 million bench verdict on behalf of a pipeline coating company for breach of contract against an Italian company.

  • Successfully prosecuted breach of contract claims by an electric utility broker against an electric utility provider.

  • Successfully defended a gas producer for breach of contract claims brought by a pipeline transportation company.

  • Successfully defended a physician group accused of breach of fiduciary duty, theft of trade secrets and breach of noncompete brought by a former employer.
