Professional Biography

Kathryn's experience in corporate finance and securities work includes representation of companies in capital markets transactions and corporate governance matters, including initial public offerings, de-SPAC transactions, secondary offerings, high-yield debt offerings, exchange offers and tender offers.

She also represents issuers and sponsors in connection with general corporate and securities laws matters, including Exchange Act periodic reporting, disclosure issues and Section 16 reporting best practices.

  • Represented a pharmaceutical research and development company in the issuance of $30 billion of debt to finance its acquisition of another pharmaceutical company that acquires, develops, manufactures, and markets brand name drugs and medical devices in the areas of medical aesthetics, eye care, central nervous system, and gastroenterology.

  • Represented an aerospace company that designs, manufactures, and sells airplanes, rotorcraft, rockets, satellites, telecommunications equipment, and missiles worldwide in connection with its $5.5 billion offering of registered senior notes.

  • Represented the leading global provider of cloud-based software and technology solutions purpose-built for delivery by managed service providers (MSPs) in its initial public offering of 25,300,000 shares of its common stock for net proceeds of $641.6 million.

  • Represented a leading life sciences company providing critical products to enable the development of drug therapies, diagnostics, novel vaccines and support research on human diseases in its initial public offering of 69 million shares of its common stock for proceeds of $1.863 billion.

  • Represented a rapidly growing service provider of specialty products and solutions for insurance brokers, agents and carriers in its initial public offering of 56,918,278 shares of its Class A common stock for gross proceeds of $1,337.6 million.

  • Represented a global leader in digital media quality in its initial public offering of 15,000,000 shares of common stock for gross proceeds of approximately $270.0 million.

  • Represented a leading integrated payments and commerce solution provider in its SPAC merger transaction.

  • Represented the world's leading kitchen and laundry appliance company in its $300 million 10-year inaugural sustainability bond offering.

  • Represented a leading e-commerce platform for buying and selling used cars in its direct registered offering of $600 million.

  • Represented a leading e-commerce platform for buying and selling used cars in its private placement of $1.1 billion senior notes.

  • Represented a large, diversified media company in an exchange offer and consent solicitation for $347,016,000 of its existing senior secured notes.

  • Represented a leader in the design, engineering, and manufacturing of critical fluid delivery subsystems and components for semiconductor capital equipment, in an underwritten public offering of 4,000,000 of its ordinary shares for net proceeds of $120.9 million.

  • Represented an out-of-home advertising company in connection with its public offering of 100 million shares of common stock.

  • Represented a multinational food manufacturer in connection with its $500 million tender offer for multiple series of senior notes and its tender offer and subsequent redemption of senior notes due 2019.
