Charlotte L. Luu's practice focuses on mergers and acquisitions, corporate formations, securities, complex real estate transactions, and non-traditional financing/complex lending transactions, including private equity investments, leveraged buyouts, private securities offerings (including real estate conservation syndications), and asset-based securitizations.

Professional Biography

In her corporate practice, Ms. Luu represents a wide reach of clients, including private equity groups, growth funds, hedge funds, commercial and private banks, real estate developers, and other business entities, ranging from smaller growth companies to larger Fortune 500 companies. She regularly handles deals in the telecommunications, oil field services, and mining industries.

Ms. Luu’s prior commercial real estate experience enables her to apply a unique level of knowledge to her corporate practice. Her experience in complex real estate transactions includes having handled the acquisition, leasing, and development of commercial, retail, office, industrial, vacant, and improved properties. Ms. Luu frequently negotiated purchase and sale agreements, lease agreements, declarations of covenants, easements and restrictions, and other ancillary agreements for developers and businesses. In addition, she advised clients on various title issues and land use matters, such as zoning laws and land entitlement procedures.

Having also represented large multi-campus health care systems, Ms. Luu has a deep knowledge of the structuring and negotiations for Stark- and Anti-Kickback-compliant ground leases, timeshares, and occupancy agreements. By bringing her broad understanding of real estate to her corporate practice, Ms. Luu approaches her clients' business goals strategically and holistically.
