Overview

Mr. Clements focuses his practice on long term care transactions, representing owners, buyers and sellers in the acquisition, disposition and associated financing of long term care and seniors housing facilities. 

Prior to joining the Firm, Mr. Clements practiced at two global law firms, both in New York City, where he acted as counsel to numerous investment and commercial banks, global companies and private equity companies specializing in highly complex lending transactions.  In addition to his experience in New York City, Mr. Clements practiced at a real estate boutique firm in Nashville, where he acted as counsel in low income housing tax credit transactions.

Representative Matters
  • Representation of developer in connection with mezzanine financing to finance development of luxury apartment complex.

  • Representation of developer in connection with its acquisition of low income housing complex and associated tax-free bond financing.

  • Representation of lender in connection with a construction loan for the development of an affordable housing complex.

  • Representation of borrowers in connection with a project financing to build a new oil refinery.

  • Representation of left lead arranger, in connection with a senior secured credit facility.

  • Representation of a multinational financial services company, in connection with a sale of a portion of its equity interests and a senior secured term loan facility.

  • Representation of left lead arranger, in connection with a senior secured asset-based revolving credit.
