Overview

Ms. O'Kelley focuses her practice on long term care transactions, including financing, leasing, acquisitions and dispositions of long term care and seniors housing facilities. In particular, she represents national health care lenders in origination and servicing of balance sheet, bridge-to-agency and mezzanine loans. Ms. O'Kelley also represents owners, operators and developers of health care facilities, as well as investors in other real estate asset classes.

Prior to joining the Firm, Ms. O'Kelley practiced at a large law firm and a commercial real estate boutique firm, both in Atlanta, where she acted as counsel to numerous national lending institutions and loan servicers in loan originations, securitizations and post-securitization master and special servicing transactions. In addition, Ms. O'Kelley has significant experience in commercial real estate acquisitions and dispositions, loan modifications and defaulted loan work-outs.

  • Represented a health care lender in a bridge-to-HUD loan secured by nine skilled nursing and assisted living facilities, including the negotiation of accounts receivable financing.

  • Represented a health care lender in a mezzanine loan portfolio secured by ten skilled nursing facilities, including negotiation of intercreditor agreements with senior mortgage lender and accounts receivable lender.

  • Represented mortgage loan seller in first ever collateralized loan obligation (CLO) collateralized entirely by health care loans.

  • Represented the purchaser in a defaulted note acquisition secured by a continuing care retirement community.

  • Represented the purchaser in the acquisition and subsequent expansion of an existing assisted living facility, including licensing and CON issues.

  • Represented the new operator in negotiation of a lease, operations transfer agreement and purchase option for a skilled nursing facility.

  • Represented the borrower in a loan extension and modification to permit construction of a new skilled nursing facility, including coordinating lot split and easement issues. 

  • Represented the purchaser in acquisition of continuing care retirement community out of receivership, including negotiation of acquisition and accounts receivable financing.
