Overview

Mr. Beardsley holds J.D. and M.B.A. degrees from Emory University, and a Bachelor of Arts from the University of Virginia where he was an Echols Scholar and majored in both Economics and Psychology. Jed was admitted to practice law in Georgia in 1980 and obtained his license as a certified public accountant* in 1982.

Jed Beardsley has extensive experience in the national and local acquisition, sale, 1031 exchange, development, financing, construction and leasing of commercial real estate, including shopping centers, hotels, mixed use projects, office, warehouse and industrial properties, manufacturing plants, apartments and land investments. He plans and structures complicated like-kind exchange transactions, joint venture partnerships, operating agreements for limited liability companies, mergers, acquisitions and divestitures. Mr. Beardsley also handles tax and estate planning, office and retail leasing, EB-5 immigrant investor financing, equity and debt capital for growth companies, and executive employment agreements.

Mr. Beardsley served for six years on the executive board of the Real Estate Section of the State Bar of Georgia. In August, 2012, Governor Nathan Deal appointed him to serve as commissioner on his five-member Governor's Commission to help organize the City of Brookhaven. Since 2013, Jed has served on the Brookhaven Zoning Board of Appeals. For the last several years he has been active on the board of the Historic Brookhaven Neighborhood Association, Inc. and the Historic Brookhaven Foundation, Inc., serving as president of the Foundation.

Representative Matters
  • Served as developer's counsel for three mixed-use centers in Metro Atlanta - North & Line on the Beltline in Midtown, Windward Park in Alpharetta and Town Center in Peachtree Corners.

  • Acquisition of two distribution centers, an ocean freight terminal and multiple retail development sites for a national agriculture supply company.

  • Development of a new Atlanta hotel debt-free using immigrant investor equity under the USCIS EB-5 Program.
  • Development of production facility in North Georgia for Spanish based manufacturer of material handling equipment.

  • Represented client in sale of capital stock of closely-held national intermodal freight carrier to public company and leasing of seven terminal facilities.
  • Represented a public school district in the purchase of 56 acre office campus in metro Atlanta for a new public high school.

  • Represented foreign investors in purchase of Atlanta regional shopping mall, including discounting payoff agreement with lender under threat of foreclosure and joint venture agreement with local operator.

  • Represented a publicly-traded software company on the closing of a major, complex office real estate sale. The deal included concomitant tax advice, easement agreements to secure joint access for multiple tenants, lease assignments and short-term seller financing.
  • Represented client in purchase and redevelopment of 37 acre Atlanta industrial site for retail power center.

  • Served as real estate counsel for the acquisition of a regional hospital and medical office complexes.

  • Exchange of Louisiana office building for Georgia shopping center and office buildings.

  • Represented a seller in a complex sale under threat of condemnation and short term leaseback to a government entity of the client's retail site. Closed the purchase of a new retail facility as Sec. 1033 replacement property.
  • Negotiated bargain sale of North Georgia riverfront tracts to charitable conservation organization.

  • Closed assembly and seller financed sale of North Carolina mountain top acreage to developer.
  • Represented a developer in establishing a $63 million mixed-use condominium on the Beltline in Midtown Atlanta, prepared and filed the declaration and plat, obtained construction financing of $47.5 million, wrote the title insurance, sold off an adjoining tract, and began construction of a five-story apartment, three-story parking garage and retail project.

  • Represented a client in a lease followed by sale to a tenant of commercial flex property on the Atlanta Beltline.
  • Represented a Georgia city through its development authority in a public-private partnership to build a new commercial town center. The project featured retail, dining and townhome units, plus a town green area. Baker Donelson handled closing the acquisition of a 20-acre site and negotiated a contract to sell and co-develop the retail, entertainment and townhome parcels to the developer. Baker Donelson also managed the refinancing of the city's loan position and closed the sale to the developer with short-term seller financing.
  • Negotiated and closed the sale of 0.80 acres of a Midtown Atlanta, Georgia, commercial site for $7 million to a student housing developer.
  • Represented a client in the purchase of an Atlanta mansion on 11 acres with the intention of converting it into an event center. Successfully met an extremely short deadline for setting up the reverse exchange, making the assignments, obtaining a new survey and coordinating the process.
