Professional Biography


Ms. Cole assists her clients in meeting their business objectives by advising them regarding complex mergers and acquisitions, as well as ongoing contractual and business planning needs. She counsels a variety of clients in the health care industry, including hospitals, ambulatory surgery centers, dermatology practices, behavioral health facilities, and physician-owned practices, among others.

Although a substantial portion of Ms. Cole's practice is related to advising health care related clients, she also advises clients in other industries regarding strategic business transactions, corporate governance, and general contract negotiation.

  • Represented a physician practice in Tennessee in a corporate restructuring and strategic joint venture transaction.

  • Secured the first Certificate of Public Advantage (COPA) ever issued in the state of Tennessee and the first Cooperative Agreement ever issued in the commonwealth of Virginia for a billion dollar non-profit health system.

  • Represented a behavioral health provider operating 23 psychiatric hospitals and outpatient programs along the Gulf Coast, as seller's counsel in its $310 million sale to a buyer with financing provided by a private equity firm.

  • Represented Strategic Behavioral Health in its $170 million sale of eight psychiatric hospitals to a Tennessee-based behavioral health and addiction treatment center.

  • Represented a leading management consulting firm in its membership interest sale to a leading business advisory firm.

  • Represented client in the sale of its nationwide solar asset management company, which provided solar power system operations and maintenance services, to a private equity company.
