Bill O'Connor is an associate in the Firm's Memphis office and a member of the Securities and Corporate Governance Group. Bill focuses his practice on technology, information security and privacy, securities, corporate governance, mergers and acquisitions, and general corporate matters. Bill assists clients in identifying, evaluating and managing risks associated with privacy and information security practices of companies and third parties. Bill's experience includes preparing and negotiating business associate agreements, drafting privacy and terms of use agreements, mergers and acquisitions, private equity and venture capital transactions, business entity formation and general corporate matters, preparation and review of Securities and Exchange Commission filings, and Securities Act compliance.

Bill has extensive experience in the technology industry. Prior to entering law school, Bill worked as a systems manager and technology officer, where he designed and developed software, databases, network and systems security infrastructure, and disaster recovery plans. In addition, Bill developed policies, procedures and reports for information security and technology audit compliance.

While in law school, Mr. O'Connor was an extern for the Honorable Judge David S. Kennedy and the Honorable Judge George W. Emerson, Jr., both of the United States Bankruptcy Court.

  • Representation of biotech focused venture capital firm in connection with its medical device accelerator, related investment vehicle and investments in portfolio companies.
  • Representation of venture capital firm with sale of telephone portfolio company.
  • Representation of oil and gas services company in $75 million credit facility.
  • Representation of oil and gas company in private offering of equity securities.
  • Assisted multiple clients in obtaining development incentives through real and personal property PILOT transactions.
  • Assisted broker dealer and investment adviser in acquisition of broker dealer and investment adviser target.
  • Assisted Tennessee holding company with private equity investment and corporate refinance.
  • Assisted biofuel company with sale of a plant and the plant's assets.
  • Forming and advising early stage clients.
  • Working with accelerator and incubator programs for entrepreneurs.
