Philip S. McSween is a shareholder in the Nashville office and chairs the Health Law Group. He is a counselor to both nonprofit and for-profit health care providers including hospitals, specialty providers and physician groups on a national basis. He concentrates his practice primarily in health care mergers and acquisitions and joint ventures and has represented clients in almost every state.

Representative transactions include assisting the UT Medical Center in its transfer from the University of Tennessee to a private non-profit foundation and representing a national dialysis provider in its recent sale. His practice has had a particular emphasis in negotiating joint ventures among health systems, physicians and specialty providers and in resolving the prickly governance, financial and operating issues inherent in those transactions.

Mr. McSween has extensive experience in negotiating joint ventures, stock purchases, asset purchases, mergers and share exchanges, non-competition agreements, and employment agreements and assessing due diligence issues. As part of his health care practice, he counsels clients in regard to governmental investigations, fraud and abuse issues, licensure and reimbursement issues and capital formation.

Mr. McSween began his career with a focus on tax issues and served as counsel in several constitutional law cases. He has been a speaker and writer on topics such as Tennessee sales and use tax issues and limited liability companies.

Mr. McSween takes great pride in the close relationships he has developed with the management teams of his clients and their including him in C-suite discussions on critical issues. His greatest sense of accomplishment in his practice is assisting clients in conceiving, developing and deploying strategic initiatives.
