Mary L. Aronov, shareholder in the Memphis office, assists clients in structuring, documenting and negotiating commercial loans, commercial real estate acquisitions, leasing transactions and general business transactions. She has extensive experience in real estate and asset-based loan transactions, purchases and sales of commercial real estate, mergers and acquisitions, multi-state lending transactions, leases, corporate finance operations, loan modifications and work-outs, foreclosures, and general commercial contracts and transactions.

Ms. Aronov serves as counsel to banks and other financial institutions engaged in asset based lending, commercial real estate loans secured by other types of collateral and drafts and negotiates the loan documents. She also represents businesses in acquisitions and/or financings of office buildings, manufacturing facilities, warehouse facilities, retail centers and assisted care facilities. Additionally she provides local borrower's counsel opinions on Tennessee law for multi-state lending transactions. Ms. Aronov is also Tennessee counsel for a nationally known company offering interactive computerized loan document preparation and other services to banking institutions. She regularly gives advice to clients on various aspects of Tennessee law relating to lending and real estate.

Recent Representative Matters

  • Represented hospital in the acquisition of a regional hospital.
  • Closed syndicated loan for national bank providing financing on 22 retail stores in four states.
  • Represented lender on multimillion dollar asset based loan secured by accounts, inventory and stock of company.
  • Closed revolving and term loan transaction for manufacturing facility secured by all tangible personal property of client, real property assets in several states, and stock of its subsidiaries located in various other countries.
  • Assisted health care client in the refinancing of six assisted care and nursing home facilities located in various states.
  • Served as lender's counsel on a loan facility to several automobile dealerships and related finance companies secured by inventory, chattel paper and notes receivable of the borrowers.
  • Represented health care REIT on construction loans for hospital and medical office building.
  • Represented purchaser in acquisition of manufacturing facility.
