John B. Beard, shareholder in the Jackson office, has practiced in the areas of business and health care transactions for 17 years. His practice is focused on hospital joint ventures and physician hospital organizations, mergers and acquisitions, federal and state taxation matters (including health care tax exemption issues for hospitals), private offerings and securities compliance matters, and corporate, limited liability company and partnership matters.
He has extensive experience with respect to exempt organization matters. Mr. Beard also represents purchasers or sellers of businesses, companies implementing financing arrangements and leveraged recaps or buyouts, and companies involved in divisive or acquisitive spin-off transactions. His practice also includes business, tax, corporate and federal and state health care regulatory compliance matters for exempt, governmental or for-profit health care providers, C and S corporation planning, hospital/physician transactions, and like-kind exchange techniques in the real estate industry.
In addition, Mr. Beard has represented clients in federal and state civil and criminal tax controversies, including corporate and individual income, estate, gift, sales, use, employment and ad valorem tax issues, and related litigation and appeals. Other areas of Mr. Beard's practice include the formation, operation and restructuring of regulated insurance corporations; analysis of antitrust matters for manufacturers, distributors, dealers and healthcare entities; and employee benefit matters.
