Corey J. Stringer, an associate in the Firm's Nashville office, utilizes his background in commercial real estate, construction and commercial litigation to help owners, municipalities, developers and contractors to structure and close commercial real estate transactions and negotiate construction contracts. Mr. Stringer has practical experience in a broad range of commercial real estate and alternative energy transactions involving both private development groups and public entities. As a part of his daily practice, Mr. Stringer focuses on understanding the nature of his clients' business practices and goals in order to structure each transaction.
- Advised Tennessee city in its program for city-wide deployment of solar power production facilities, including negotiation of leases of land and licenses of equipment with third party equipment owners/installers.
- Outside general counsel to a solar panel installation companies serving both the residential and commercial sectors; assisted said solar panel installation companies on tax, financing and corporate governance issues to optimize tax benefits for solar installation projects, as well as negotiate EPC agreements.
- Drafted power purchase agreements and ground lease/equipment licenses for projects ranging from 22 kWh to 25 MW nationwide, including creation of long-term specialized transaction structures to comply with local regulatory, tax and incentive issues.
- Counseled owners on solar installation equipment leases and power purchase agreements to assist owners in maximizing the value received by the real property owners under such agreements.
- Assisted in coordinating the work of more than 30 attorneys and paralegals Firm-wide in representation of the purchaser of approximately 1,000 commercial sites nationwide.
- Negotiated $26 million construction contract and architect's agreement on behalf of the owner for construction of the North American headquarters and warehouse of a foreign company.
- Negotiated and closed the sale of participation interests in notes secured by distressed properties on behalf of regional bank.
- Negotiated resolution of dispute between developer of distressed property and city, averting condemnation of unfinished project and creating a mutually beneficial agreement for completion of project, saving the developer approximately $2.5 million.
- Formed business entities, such as limited liability companies and corporations for real estate development companies.
- Drafted purchase and sale agreements for real property and closed real estate transactions nationwide.
- Negotiated and drafted agreements in conjunction with real estate transfers, including reciprocal easement agreements, deeds of trust, assignments, etc.
- Provided creative and effective solutions in conjunction with drafting and negotiating commercial leases and declarations for planned development communities.
- Drafted and negotiated construction contracts on behalf of owners, general contractors and subcontractors in California and Tennessee.
- Investigated and solved complex title issues in support of foreclosure actions.
- Successfully litigated, mediated and negotiated construction claims and defects disputes in both California and Tennessee.
- Provided pro bono representation to non-profit organizations, as well as to indigent individuals.
